Item 5.02. Election of Director

On June 13, 2005, Mario Bobba was appointed to serve on the Board of Directors of Critical Path, Inc., effective July 1, 2005. Mr. Bobba is currently employed in Critical Path’s European sales operations and will remain employed until June 30, 2005. Upon the effectiveness of his appointment to the Board of Directors, Mr. Bobba will be entitled to Critical Path’s standard non-employee director compensation arrangements, as described in Critical Path’s Form 10-K for the fiscal year ended December 31, 2004, filed with the Securities and Exchange Commission on March 31, 2005.
