Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 12, 2010, Raymond M. Bukaty announced his intention to retire as Senior Vice President, Administration, General Counsel and Secretary of Western Digital, effective October 1, 2010. Mr. Bukaty, 52, is retiring after serving as Western Digital’s General Counsel for more than eight years and having worked for Western Digital for more than 11 years. Michael Ray, currently Western Digital’s Vice President, Legal Services, and a member of the Company’s legal department for the past 10 years, will succeed Mr. Bukaty as Western Digital’s Vice President, General Counsel and Secretary.
