On January 26, 2010, Judith K. Hofer notified the Company she was retiring as a director effective immediately for health reasons. Ms. Hofer has served as a director of the Company since 2004. She also served on the Compensation, Nominating and Governance Committee. Concurrent with the Board’s acceptance of Ms. Hofer’s resignation, the Board size was decreased to nine directors.
