(b)           On December 17, 2009, LMI Aerospace, Inc. (the “Company”) received notice from James McQueeney of his resignation from his position as President and Chief Operating Officer of the Company, effective as of January 17, 2010.  The resignation of Mr. McQueeney was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.

Section 7 – Regulation FD

Item 7.01.  Regulation FD Disclosure.

On December 23, 2009, the Company issued a press release (the “Press Release”) that, in addition to Mr. McQueeney’s resignation, announced, among other things, the realignment of certain management responsibilities for fiscal year 2010.  The full text of the Press Release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
