Item 8.01. Other Events.

The Board of Directors of the Registrant was informed of the death of Mr. Paul L. Miller, Jr., a Director of the Registrant, who passed away on July 15, 2005. Mr. Miller was a member of both the Audit Committee and the Compensation Committee of the Registrant’s Board of Directors, and had served as a director of the Registrant since 2003.
