Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 16, 2007, Interstate Hotels & Resorts, Inc. entered into an employment agreement amendment with Thomas F. Hewitt, the Company’s Chief Executive Officer. The amendment (i) extended the term of Mr. Hewitt’s employment agreement, which was previously scheduled to expire February 17, 2008, to February 17, 2010, and (ii) increased Mr. Hewitt’s salary from $400,000 to $500,000 per year effective January 1, 2007.
