Item 1.02. Termination of a Material Definitive Agreement.

The Employment Agreement, dated as of November 1, 2001, between Interstate Hotels & Resorts, Inc., Interstate Management Company, LLC and Robert J. Morse will terminate effective the date of resignation of Mr. Morse as described in Item 5.02 below.

Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 27, 2005, Robert J. Morse, Interstate Hotels & Resorts, Inc.'s Chief Operating Officer, announced that he will be resigning from his position at Interstate effective on or about February 25, 2005.
