Explanation of Responses:
1. Pursuant to the terms of a Debt Conversion and Purchase and Sale Agreement, dated as of January 12, 2018 (the "Agreement"), by and among bebe stores, inc. (the "Issuer"), the Reporting Person and The Manny Mashouf Living Trust (the "Mashouf Trust"), the Reporting Person (i) acquired 2,819,528 shares of the Issuer's common stock, par value $0.001 per share ("Common Stock"), in exchange for the Reporting Person's canceling debt issued by the Issuer and (ii) purchased 250,000 shares of Common Stock from each of the Issuer and the Mashouf Trust.
Remarks:
The Reporting Person may be deemed a director by deputization of the Issuer for the purposes of Section 16 of the Securities Exchange Act of 1934, as amended, as a result of two employees of an affiliate of the Reporting Person serving on the board of directors of the Issuer as representatives of the Reporting Person.
