17. Subsequent events

A special meeting of the Company’s stockholders will be held on September 11, 2012 at 8:30 a.m., Chicago time, to vote on a proposal to approve the issuance of the Company’s common stock in connection with the Central Parking merger. Only stockholders of record of the Company’s common stock at the close of business on July 19, 2012, the record date, are entitled to vote at the special meeting. The proposed merger is conditional upon approval of the proposal by the Company’s stockholders at the special meeting and also remains subject to antitrust review, consummation of financing and other customary closing conditions.
