Section 5-Corporate Governance and Management

Item 5.07. Submission of Matters to a Vote of Security Holders.

On May 8, 2019, SP Plus Corporation (the “Company”) held its 2019 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders: (i) elected six (6) directors; (ii) approved, on a non-binding, advisory basis, a resolution approving the 2018 compensation paid to the Company’s named executive officers; and (iii) ratified the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for 2019. The Proposals presented at the Annual Meeting are described in more detail in the Company’s Definitive Proxy Statement on Schedule 14A that was filed with the Securities and Exchange Commission (the “SEC”) on April 5, 2019. Holders of 21,275,662 shares of the Company’s common stock, or approximately 93.1% of the 22,853,588 shares of common stock that were issued and outstanding and entitled to vote as of the record date, March 29, 2019, were present in person or represented by proxy at the Annual Meeting.

The following are the final voting results on the three Proposals presented to the Company’s stockholders at the Annual Meeting.
