ITEM 5.02 Departure of Directors or Principal Officers: Election of Directors: Appointment of Principal Officers.

On April 26, 2007, CFS Bancorp, Inc. (the “Company”) issued an amended 8-K announcing that Daryl D. Pomranke had been named Executive Vice President - Chief Operating Officer of the Company and its wholly-owned subsidiary, Citizens Financial Bank, effective April 30, 2007. The original 8-K was filed on April 23, 2007.

Mr. Pomranke, age 46, had been Senior Vice President and Regional Financial Services Officer for Harris N.A. Indiana Region since January 2005. Mr. Pomranke held various management positions at Mercantile National Bank of Indiana/Harris N.A. since joining the organization in 1998 including Senior Vice President - Chief Financial Officer, Senior Vice President of Corporate Development and Senior Vice President of Corporate Services.

On April 23, 2007, the Company issued a press release announcing the appointment of Daryl D. Pomranke as Executive Vice President - Chief Operating Officer.
