Item 8.01. Other Events.

On November 16, 2007, Cognizant Technology Solutions Corporation (the “Company”) announced that, pursuant to a merger with a subsidiary of the Company, it acquired marketRx, Inc. (“marketRx”), a New Jersey-based, leading provider of analytics and related software services to global life sciences companies, for approximately $135 million in cash. A copy of the Company’s press release relating to the transaction is filed herewith.
