Committee Assignments

This Form 8-K/A amends the Form 8-K filed by Cognizant Technology Solutions Corporation (the “Company”) on July 11, 2024 (the “Original Filing”) related to the appointment of Karima Silvent to the Company’s Board of Directors (the “Board”) effective July 11, 2024; such disclosure is incorporated herein by reference in its entirety. At the time of the Original Filing, Ms. Silvent’s Board committee assignments had not been determined. In accordance with Instruction 2 to Item 5.02 of Form 8-K, the sole purpose of this amendment is to disclose committee assignments for Ms. Silvent. On September 5, 2024, the Board appointed Ms. Silvent to serve on the Board’s Compensation and Human Capital Committee, effective immediately. No other changes have been made to the Original Report.
