Item 5.02                                          Departure of Directors or Principal Officers; Election of Directors: Appointment of Principal Officers.

Webb Edwards, a Class III Director, resigned from the Company’s board of directors and any of its committees on June 26, 2006. Mr. Edwards remains as an advisor to the Company on a number of fronts and the Company expects to expand that role to include its Carretek LLC partnership with Mastek.
