(b)  Director Keith W. Hughes, a Class III director of the Company with a term of office expiring in 2007, advised the company on January 18, 2006 of his resignation as a director effective as of January 15, 2006 to pursue other opportunities.  Mr. Hughes indicated that he has no disagreement with the Company on any matter.  Mr. Hughes also served as a member of the Compensation Committee of the Board of Directors.
