         State below in reasonable detail the reasons why the Form 10-KSB, 11-K,
20-F, 10-QSB or N-SAR or portion thereof could not be filed within the
prescribed time period. The Registrant is unable to timely file without
unreasonable effort or expense its quarterly report on Form 10-QSB for the
fiscal quarter ended August 31, 2002. Because of a recent change in auditors,
the Registrant has not been able to finish the financial statements and have all
proper parties review them prior to the due date. The Registrant intends to file
the Form 10-QSB by the extension date.
