(the "Company" or the "Registrant") reserved for issuance under the Company's 1998 Omnibus Stock Plan (the "1998 Plan"), (ii) 1,000,000 shares of Common Stock reserved for issuance under the Company's Employee Stock Purchase Plan (the "Purchase Plan"), and (iii) 550,000 shares of Common Stock reserved for issuance upon the exercise of a non-qualified option to purchase shares of the Company's Class A Common Stock granted to Francis J. Jules, a director and the chief executive officer of the Company.
