Explanatory Note

This Current Report on Form 8-K/A (this "Report") of Weis Markets, Inc. (the "Company") is being filed to update the Company's previous disclosure contained in a Form 8-K filed on November 12, 2015 regarding the Company's non-compliance with the New York Stock Exchange (the "NYSE") Listed Company Manual due to its failure to timely file the Quarterly Report on Form 10-Q for the fiscal quarter ended September 26, 2015 (the "Form 10-Q").

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On November 12, 2015, the Company received a notice from the NYSE indicating that the Company was not in compliance with the NYSE's continued listing requirements under the timely filing criteria established in Section 802.01E of the NYSE Listed Company Manual as a result of its failure to timely file its Form 10-Q. On February 17, 2016, the NYSE acknowledged that the Company filed the Form 10-Q on February 16, 2016. As a result, it will remove the Company from the late filers' list disseminated to data vendors and posted on the Listed Standards Filings Status page on www.nyse.com. Also, the "LF" indicator posted on the Profile, Data and News pages related to each issue will be removed.
