Item 8.01 Other Events
As previously disclosed in Amendment No. 1 to its Current Report on Form 8-K/A filed on January 5, 2017, Interpace Diagnostics Group, Inc. (the “Company”) announced a registered direct public offering of 630,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”), at a price of $6.81 per share (the “Registered Direct Offering”). A copy of the legal opinion of Pepper Hamilton LLP relating to the legality of the issuance and sale of the shares of Common Stock in the Registered Direct Offering is filed herewith as Exhibit 5.1.
The closing of the Registered Direct Offering is expected to take place on January 6, 2017, subject to customary closing conditions.
