Revenue for the year ended December 31, 2000 has materially decreased compared
with the same period in 1999.  Consequently, there was a net loss year-to-date
compared with net income in 1999.  As previously reported, the company has
restructuring costs related to the Tennessee plant consolidation and workforce
reduction. However, in as much as the Registrant's financial statements have not
been finalized, any estimate of this loss would be subject to adjustment.
