("CII") dismissed Deloitte and Touche LLP ("D&T") as its independent accountants. 2. The reports of D&T on CII's consolidated financial statements for the fiscal years ended December 31, 1999 and 1998 did not contain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting principles. 3. CII's audit committee recommended the decision to change independent accountants and the Board of Directors approved the change. 4. In connection with its audits for the two most recent fiscal years ended December 31, 1999 and through October 2, 2000, there have been no disagreements with D&T on any matter of accounting principles or practices, financial statement disclosure, or auditing scope and procedure, which disagreements, if not resolved to the satisfaction of D&T, would have caused D&T to make reference to the subject matter of the disagreements in connection with its report on the financial statements for those years. 5. During the two most recent fiscal years and through October 2, 2000, there have been no reportable events (as defined in Regulation S-K Item 304(a)(1)(v)). 6.
