AMERICAN TOWER CORPORATION PRICES SENIOR NOTES OFFERING

Boston, Massachusetts – December 2, 2010: American Tower Corporation (NYSE: AMT) today announced the pricing of its registered public offering of senior unsecured notes due January 2018 in an aggregate principal amount of $1 billion. The notes will have an interest rate of 4.50% per annum and are being issued at a price equal to 99.921% of their face value. The net proceeds of the offering are expected to be approximately $991.9 million, after deducting underwriting discounts and estimated offering expenses.

The Company intends to use the net proceeds from this offering to, among other things, finance acquisitions, including but not limited to up to $200 million for the acquisition of towers from Cell C (Pty) Limited and up to $500 million for any proposed acquisitions in Latin America, including additional tranches of tower purchases in Colombia, Peru and Chile, and, if the Company’s $1.25 billion senior unsecured revolving credit facility is used to fund acquisitions, to repay the credit facility. Any remaining net proceeds will be used for general corporate purposes.
