Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 17, 2019, Red Lion Hotels Corporation (the “Company”) filed a Current Report on Form 8-K to announce the appointment of a new independent director, Mr. Frederic F. (Jake) Brace, to the Board of Directors (the “Original Filing”). At the time of the Original Filing, the Company had not made a determination regarding Board Committee assignments for Mr. Brace.

On August 28, 2019, the Board of Directors appointed Mr. Brace to the Company’s Audit Committee.

Other than the preceding disclosure, no other changes have been made to the Original Filing pursuant to this Report.
