Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     (e) On February 9, 2010, the Compensation Committee of the Board of Directors of Red Lion Hotels Corporation set the annual salary for Jon E. Eliassen, Interim President and CEO of the Company, at $360,000, and made such salary retroactive to his appointment on January 13, 2010. The Compensation Committee also determined that Mr. Eliassen would continue to receive quarterly compensation for his service as a director of the Company on the same basis and under the same terms and conditions as the Company’s non-employee directors.
