Item 5.07                                           Submission of Matters to a Vote of Security Holders.

 

Evolving Systems, Inc. (the “Company”) held its Annual Meeting of Stockholders on June 19, 2019 (“Annual Meeting”) at the Company’s headquarters in Englewood, Colorado.  The Company is providing the following information regarding the results of the matters voted on by stockholders at the Annual Meeting.

 

David J. Nicol, David S. Oros, Julian D. Singer, and Matthew Stecker were elected to the Board of Directors. The stockholders also approved, on a non-binding, advisory basis, the compensation paid to our named executive officers; approved holding an advisory vote on executive compensation every two (2) years; and they also ratified the Board of Directors’ appointment of Marcum LLP as the Company’s independent registered public accounting firm for the year ended December 31, 2019.

 

The Company’s inspector of election certified the vote tabulations.
