Other Events.

On November 26, 2010 Telephone and Data Systems, Inc. (“TDS”), called for redemption a portion of the outstanding 7.6% Series A Notes due 2041, CUSIP No. 879433878 (the “7.6% Notes”), of TDS.  TDS will redeem $217,500,000 aggregate principal amount of the outstanding $500,000,000 aggregate principal amount of such notes. The redemption price of the 7.6% Notes is 100% of the outstanding aggregate principal amount, plus accrued and unpaid interest thereon until the redemption date.  The redemption date will be December 27, 2010.  The 7.6% Notes are listed on the New York Stock Exchange (“NYSE”) under the symbol “TDA.” 

The 7.6% Notes were issued and the redemption will be effected pursuant to the provisions of the Indenture dated November 1, 2001 (“Indenture”) between U.S. Cellular and The Bank of New York Mellon Trust Company, N.A., f/k/a The Bank of New York Trust Company, N.A., as successor to BNY Midwest Trust Company, as Trustee (“Trustee”), and the First Supplemental Indenture dated as of November 28, 2001, as supplemented by the Second Supplemental Indenture dated May 31, 2002, between TDS and Trustee (collectively, the “Supplemental Indenture”).   The terms of the 7.6% Notes, Indenture and the Supplemental Indenture are set forth in TDS’s Prospectus Supplement dated November 28, 2001 that was filed with the Securities and Exchange Commission (“SEC”) under SEC Rule 424(b)(5) on November 29, 2001 and are incorporated by reference herein.  After the redemption of such $217,500,000 in aggregate principal amount, $282,500,000 in aggregate principal amount of the 7.6% Notes will remain outstanding and will continue to be traded on the NYSE under the symbol “TDA.”  TDS did not and will not incur any early termination penalties or incur any other material obligations in connection with the redemption of the 7.6% Notes. 

The redemption will be financed with the net proceeds from the issuance of $225,000,000 in aggregate principal amount of TDS’ 6.875% Senior Notes due 2059 that were issued as of November 23, 2010.  TDS anticipates that the aggregate redemption cash payment, including accrued interest, will be approximately $222 million.

On November 26, 2010, TDS issued a press release discussing the foregoing, which is incorporated by reference herein as Exhibit 99.2.

NOTICE IS HEREBY GIVEN, pursuant to the Indenture dated as of November 1, 2001 between Telephone and Data Systems, Inc., a Delaware corporation (the “Company”), and The Bank of New York Mellon Trust Company, N.A., formerly known as the Bank of New York Trust Company, N.A., as successor in interest to BNY Midwest Trust Company (the “Trustee”), and the First Supplemental Indenture thereto dated as of November 28, 2001, as amended by the Second Supplemental Indenture dated as of May 31, 2002 (collectively the “Indenture”), as follows:

(1)        The Company’s 7.60% Series A Notes due 2041 (the “Notes”) are hereby called for redemption in part.  The CUSIP number of the Notes is 879433 878

 

(2)        The date fixed for redemption is December 27, 2010 (the “Redemption Date”).  Pursuant to the terms of the Indenture and the Notes, the Notes are redeemable at the option of the Company at any time on and after December 5, 2006.

 

(3)        Pursuant to the terms of the Indenture and the Notes, the Notes will be redeemed at a redemption price equal to 100% of the principal amount redeemed plus accrued and unpaid interest to the Redemption Date (the “Redemption Price”).

 

(4)        Payment of the Redemption Price will be made, upon presentation and surrender of the Notes, at the office of the following Paying Agent of the Company:

shall be redeemed in part.  If any Note is to be redeemed in part only, the notice of redemption relating to such Note shall state the portion of the principal amount thereof to be redeemed.  A new Note in principal amount at maturity equal to the unredeemed portion thereof will be issued in the name of the holder thereof upon cancellation of the original Note.

 

(7)        Neither the Company nor the Trustee shall be responsible for the accuracy of the CUSIP number either as printed on the Notes or as set forth in this Notice of Redemption.  The CUSIP number set forth above is included solely for the convenience of the holders of the Notes.

 

(8)        Prior to or on the Redemption Date, the Company shall deposit with the Paying Agent money sufficient to pay the Redemption Price of all Notes to be redeemed.  The redemption of the Notes is subject to the receipt of the aggregate Redemption Price by the Paying Agent on or before the Redemption Date and this notice shall be of no effect unless such moneys are so received on or before such date

TDS ANNOUNCES PARTIAL REDEMPTION OF 7.6 PERCENT SERIES A NOTES

 

CHICAGO – Nov. 26, 2010 – Telephone and Data Systems, Inc. (NYSE: TDS, TDS.S) today announced that it will redeem some of its outstanding 7.6 percent Series A Notes due 2041 (NYSE: TDA).   TDS will redeem $217.5 million aggregate principal amount of the $500 million outstanding notes on Dec. 27, 2010, at a redemption price of 100 percent of the principal amount, together with accrued and unpaid interest to the redemption date.  The Depository Trust Company (DTC), the securities’ holder of record, will determine by random lottery how a partial series redemption will be allocated.  

 

As previously announced, TDS sold $200 million of 6.875 percent Senior notes (NYSE: TDE) on Nov. 16, 2010.  Additionally, as part of the Underwriting Agreement, the underwriters exercised their over-allotment option and purchased an additional $25 million of the 6.875 Senior notes on Nov. 24, 2010.  In aggregate, the net proceeds were approximately $217.5 million.

 

Additional information will be included in a Form 8-K to be filed with the Securities and

Exchange Commission. A notice of partial redemption with instructions is being distributed to registered holders of the notes. Beneficial holders with any questions about the redemption should contact their respective brokerage firm or financial institution.
