ITEM 8.01—OTHER EVENTS

On March 7, 2022, Crown Castle Towers LLC, a wholly owned subsidiary of Crown Castle International Corp., notified The Bank of New York Mellon, as trustee, that it will prepay in full, on the scheduled March 15, 2022 payment date, the $250 million aggregate principal amount of outstanding 3.720% Senior Secured Tower Revenue Notes, Series 2018-1, Class C-2023 (“2018-1 Notes”). The 2018-1 Notes were issued by Crown Castle Towers LLC and certain subsidiaries of Crown Castle Towers LLC. All of the then outstanding 2018-1 Notes will be prepaid on such payment date at a price calculated in accordance with the indenture governing the 2018-1 Notes.
