Based on a review of the books and records of the IPOF Funds made available to the Receiver, the assets of the IPOF Funds include 4,176,725 shares of Common Stock of Innotrac Corporation (the &quot;Company&quot;). Pursuant to the Second Order dated December 1, 2005, the Court determined that as Receiver of the assets of the IPOF Funds, Mr. Dottore was to administer such assets, including any shares of Common Stock of the Company held by the IPOF Funds, with the same rights and powers as a general partner in a limited partnership pursuant to Ohio Revised Code Chapter 1782 Limited Partnerships and otherwise under the laws of the
