Item 7.01 Regulation FD Disclosure.

On December 7, 2012, the Company announced the declaration by the Company's Board of Directors of a quarterly cash dividend of $0.09 per share to be paid on or before December 28, 2012 to shareholders of record as of December 17, 2012.  A copy of the press release announcing the dividend is furnished as Exhibit 99.1
