Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On August 25, 2022, Jeffrey J. Carfora, Senior Executive Vice President and Chief Financial Officer (“CFO”) of Peapack-Gladstone Financial Corporation (the “Company”) and its wholly-owned subsidiary Peapack-Gladstone Bank, informed the Company that he intends to retire April 7, 2023, and will step down as CFO upon the earlier of the Company securing his replacement or April 7, 2023. The Company has begun a search for qualified candidates for the CFO position. Upon a new CFO joining the Company, Mr. Carfora would remain with the Company as a senior officer until April 7, 2023, to assist the Company and the new CFO with transitional matters.
