Item 2.01. Completion of Acquisition or Disposition of Assets.

On March 15, 2013, MicroStrategy Incorporated (the “Company”) completed the sale of its wholly-owned subsidiary Angel.com Incorporated (“Angel”) to Genesys Telecommunications Laboratories, Inc. (the “Buyer”) pursuant to the stock purchase and sale agreement previously disclosed in a Current Report on Form 8-K filed by the Company with the U.S. Securities and Exchange Commission on March 1, 2013. Angel is a provider of cloud-based customer experience management (CEM) solutions for interactive voice response and contact centers. As a result of the sale, the Company received aggregate consideration of approximately $111 million in cash, which is subject to certain post-closing adjustments.
