Item 5.02 Departure of Director or Principal Officers; Election of Directors; Appointment of Principal Officers.

On September 16, 2005, Robert J. Bayruns submitted his resignation as Vice President Engineering of WJ Communications, Inc. to join a privately-held technology company. His resignation will become effective on September 30, 2005.
