Item 2.02 Results of Operations and Financial Condition.

On February 17, 2005, WJ Communications, Inc. (the “Company”) issued a press release related to its financial results for the quarterly period and year ended December 31, 2004. A copy of the Company’s Press Release and the financial statements which were included in the Press Release, is attached hereto as Exhibit 99.1 and is being furnished under Item 2.02 of this Report on Form 8-K.
