NUTRACEUTICAL TO ACQUIRE PILGRIM'S NATUREWAY BUSINESS

        PARK CITY, Utah, Oct 22/PRNewswire-First Call/—Nutraceutical International Corporation (NASDAQ: NUTR) today announced that it has entered into a purchase and sale agreement to acquire substantially all of the operating assets of Pilgrim's Natureway LLC ("Pilgrim's"), a Washington limited liability company, through its subsidiary Fresh Vitamins, Inc. Closing is subject to certain contingencies and, if these contingencies are met, is anticipated to occur on or before November 30, 2004.

        Headquartered in Seattle, Washington, Pilgrim's currently generates annual revenue of approximately $4 million through 10 smaller-footprint health food stores, which primarily sell branded nutritional supplements. These stores operate under the trade names "Pilgrim's Nutrition Centers," "Natureway Nutrition Centers," and "Vitality Health Nutrition."

        Bill Gay, chairman and chief executive officer of Nutraceutical, commented, "Pilgrim's has been a loyal customer for many years and has offered nutritional supplements and health foods to Seattle-area customers for over 25 years. We are grateful for the opportunity to provide financial support to this chain of health food stores and its employees and customers. ABOUT NUTRACEUTICAL

        Nutraceutical is an integrated marketer, distributor, retailer and manufacturer of branded nutritional supplements and other natural products sold primarily to and through domestic health and natural food stores. Internationally, Nutraceutical sells its branded products to and through health and natural product distributors and retailers. Under the name Woodland Publishing™, Nutraceutical publishes, prints and markets a line of books and booklets to, among others, book distributors, national retail bookstores and health and natural food stores. Nutraceutical's neighborhood natural food markets operate under the trade names The Real Food Company, Thom's Natural Foods™ and Cornucopia Natural Market™ and its health food stores operate under the trade names Arizona Health Foods™ and Granola's™. Nutraceutical also distributes the branded products of certain third parties.
