Item 2.02 Results of Operations and Financial Condition

On July 21, 2005, Brookline Bancorp, Inc. (the "Company") announced today its
earnings for the 2005 second quarter and approval by its Board of Directors of a
regular quarterly dividend of $0.085 per share and an extra dividend of $0.20
per share payable August 15, 2005 to stockholders of record on July 29, 2005. A
copy of the press release dated July 21, 2005 is attached as Exhibit 99.1 to
this report.
