ITEM 8.01.   OTHER EVENTS

As previously disclosed, on January 3, 2006, Pliant Corporation (the “Company”) and certain of its subsidiaries (collectively, the “Debtors”) filed voluntary petitions in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”) seeking relief under the provisions of chapter 11 of title 11 of the United States Code (the “Bankruptcy Code”) (the “Chapter 11 Cases”). The Chapter 11 Cases are being jointly administered under the caption “In re: Pliant Corporation, et al., Case No. 06-10001”.

 

Also as previously disclosed, on June 19, 2006, the Debtors filed with the Bankruptcy Court the Debtors’ Fourth Amended Joint Plan of Reorganization (the “Fourth Amended Plan”).

 

On June 23, 2006, the Company issued a press release announcing that the Bankruptcy Court had confirmed the Fourth Amended Plan. The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

PLIANT’S FINANCIAL RESTRUCTURING PLAN CONFIRMED BY COURT

SCHAUMBURG, IL - - - Pliant Corporation announced today that the U.S. Bankruptcy Court for the District of Delaware has confirmed the company’s Plan of Reorganization. This confirmation sets the stage for the company to emerge from Chapter 11, following closing of the company’s previously announced $200MM exit financing package and other related conditions.

The Plan will significantly increase Pliant’s free cash flow, reduce debt and interest expense, and eliminate all existing mandatory redeemable preferred equity through an exchange with holders of the company’s 13% Senior Subordinated Notes, Series A and Series B Preferred stock, and Common stock. A key provision of the plan will be the payment of all outstanding pre-petition trade vendor claims.
