The Board of Directors recommends a vote “FOR” items 1, 2 and 3.
1)      Election of four (4) directors.
Nominees:

2)      Ratification of the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for 2009. 3)      Reapproval of the material terms of performance goals under the Company’s Long-Term Incentive Plan. The Board of Directors makes no recommendation either “FOR” or “AGAINST” item 4. 4)      Consideration of a Shareholder Proposal to eliminate the classification of the Board of Directors so as to require that all directors be elected annually. The Board of Directors recommends a vote “AGAINST” item 5. 5)      Consideration of a Shareholder Proposal to require that an independent director serve as Chair of the Board who does not also serve as CEO of the Company.
