Item 8.01.   Other Events.
     FelCor Lodging Limited Partnership (“FelCor LP”), for whom FelCor Lodging Trust Incorporated (“FelCor”) acts as the sole general partner, has given notice that it will redeem $144 million, in the aggregate, of the $636 million outstanding principal amount of its 10% Senior Secured Notes due 2014 (“10% Notes”). The company expects to redeem those notes by June 16, 2011 using proceeds from FelCor’s recent equity offering. Under the terms of the indenture governing the redeemed 10% Notes, the redemption price is 110% of the principal amount of the redeemed 10% Notes, together with accrued and unpaid interest thereon to the redemption date.
