The Reporting Person filed a Form 4 on April 1, 2004 reporting (i) the exercise of the Put and (ii) the increase of the Reporting Person's direct ownership to include the 423,245 shares. On April 27, 2004, the exercise of the Put was consummated with purchases by the Reporting Person of 402,026 shares and by certain minor children of the Reporting Person of the remaining 21,219 shares. The ownership of the Reporting Person shown in this Form 4 now reflects that the Reporting Person owns 402,026 of the shares directly and 21,219 indirectly through his minor children.</footnote>
        <footnote id="F6">On April 27, 2004, in a transaction approved by the independent members of the Board of Directors of Fog Cutter Capital Group Inc. (the &quot;Issuer&quot;), the Reporting Person sold to the Issuer an option to purchase 423,245 shares of the Issuer's stock owned by the Reporting Person and the immediate family members of the Reporting Person.</footnote>
