The Rights to Purchase Preferred Stock expired on May 21, 2021 pursuant to the terms of that certain Tax Benefit Protection Plan Agreement, dated as of November 8, 2016 (the Plan), as amended by Amendment No. 1 to Tax Benefit Protection Plan Agreement, dated May 7, 2021 (the Amendment), by and between the Company and American Stock Transfer & Trust Company, LLC, as rights agent. A copy of the Plan was filed as Exhibit 4.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission (the SEC) on November 9, 2016.
