Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Resignation of Director
 
Effective as of March 15, 2010, William Sweedler, a member of Board of Directors of Talon International, Inc. (the “Company”) since 2006, has resigned as a Class II Director of the Company.  Mr. Sweedler was also a member of the Audit and Compensation Committees of the Board of Directors.  The Company has not yet identified a replacement director for Mr. Sweedler.
