         On August 22, 2005, Tag-It Pacific,  Inc. (the  "Registrant")  issued a
press release  regarding  its  financial  results for the six months and quarter
ended June 30, 2005. A copy of the press  release is attached  hereto as Exhibit
99.1 and is incorporated herein by this reference.
