Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Joseph J. Morrow informed the Company’s Chairman of the Board on June 11, 2007 that he is resigning as a Director because the tight scheduling demands of his other business activities make it difficult for him to accommodate the need of the Board for rescheduling scheduled meetings. He will continue to serve on the Board through the scheduled June 27, 2007 Board meeting.

A copy of the press release containing such announcement is found in Exhibit 99.1 hereto, which is incorporated herein by reference.
