(SMP) wishes to thank you and the many Warwick Valley Telephone shareholders who voted in favor of Santa Monica?s proposal recommending the Board substantially increase the quarterly dividend and in favor of its two Class II board nominees. SMP?s proposal recommending that the quarterly dividend paid to shareholders be significantly increased received a substantial 1,161,873 votes or more than 34% of the 3,404,194 votes cast ?for? or ?against? this proposal while another 161,182 shares or 4.6 % of the total votes cast abstained Shareholders showed their discontent with the Board by withholding 1,144,267 votes from unopposed candidate for Class I incumbent director, Joseph J. Morrow, CEO and owner of Warwick?s proxy solicitation firm Morrow & Co, Inc.; 935,141 votes from unopposed Class I incumbent candidate for director, Kelly C. Bloss and 909,379 votes from unopposed Class I incumbent candidate for director, Robert J. DeValentino. This totaled more than 28%, 23% and 22% respectively of the votes cast for the Class I Directors. In the election for Class II directors, 22% of the votes cast were either withheld from the incumbent nominees or cast for SMP?s nominees M. Lynn Pike and Peter Saulnier. According to The Wall Street Journal (United Health Shareholders Show their Discontent, May 3, 2006), "Withholding more than 20% of the votes cast for directors is generally considered to be a notable expression of discontent by shareholders" and obviously Warwick?s shareholders sent just such a clear and loud message to the Board. Furthermore, the sizable amount of votes withheld from incumbent Directors along with the votes for the two opposition candidates, was particularly notable and very significant because Warwick had notified shareholders in its proxy materials that votes cast for Pike and Saulnier would not be counted. Left with no other alternative to secure shareholders? inalienable and democratic right to vote, SMP took Warwick to court and obtained the right to have votes for its two nominees counted only by successfully suing the Company in the New York State Supreme Court. SMP won an injunction against the Company, a ruling for shareholders and against the Board which did not want shareholders to be able to have a choice of candidates. The Court ruling, which required all votes to be counted, unfortunately came less than two days before the election so that there was inadequate time to inform shareholders they could indeed vote for SMP?s candidates and be assured their votes would in fact be counted. Thus given this handicap the sizeable vote by shareholders registering their displeasure with incumbent Directors was all the more significant. At the shareholders meeting on April 28, shareholder William Steiner asked management why it so vehemently opposed SMP?s proposal in November 2005 to shop the Company around, yet two months later in January 2006, it announced that it had hired Stifel Nicholaus & Co. Inc. to do exactly what SMP?s proposal had requested. Mr. Steiner asked Director Joseph Morrow who conducted the meeting, ?shouldn?t you be thanking Mr. Goldstein and SMP instead of spending so much money and time fighting him?? The question was honest and the response was deafening silence. Clearly our efforts have resonated with Warwick shareholders. We will continue to communicate with the shareholders who support of Warwick Directors we blame for the erosion of shareholder value and who fail to serve shareholder interests at the expense of us all. Local shareholders are understandably emotional about their Company, but it is time for all investors to remove emotion from the equation and to focus on the straightforward fundamentals. SMP will continue to work for shareholders to obtain all they are entitled to, nothing more, but nothing less and will continue use its best efforts to see that Warwick Shareholders are provided with the return from their investment that they deserve.
