Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On December 22, 2006, Central European Distribution Corporation (the “Company”) received notice of the resignation of Dominique Hériard Dubreuil from her position on the Board of Directors of the Company. Ms. Hériard Dubreuil’s resignation was effective immediately. Ms. Hériard Dubreuil has served on the Company’s Board of Directors since August 2005. In her letter of resignation, Ms. Hériard Dubreuil indicated that her resignation was not the result of any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
