RELEVANT FACT

The Board of Directors of Endesa has hereby acknowledged E.On’s decision to withdraw its tender offer for Endesa. The Board also acknowledged the relevant fact jointly filed by ENEL and Acciona before the Spanish National Securities Exchange Comission (“CNMV”) notifying their application to have their tender offer for shares in Endesa authorized. The Company will make a statement regarding the latter in an appropriate and timely fashion.
