Item  8.01

Pathfinder  Bancorp,  Inc.  declared a cash dividend of $0.1025 per share on the
Company's  common  stock  for  the fiscal quarter ending September 30, 2006. The
dividend  will  be payable to all shareholders of record on October 13, 2006 and
will  be  paid  on  October  27,  2006.
