Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) On July 12, 2023, the Company’s Board of Directors amended the Company’s Bylaws by decreasing the number of directors from ten (10) to nine (9), in connection with the passing of Board Chair Jon C. Parker on June 19, 2023.  The amendment will be effective on July 12, 2023.  For further information please see the Amended and Restated Bylaws of the Company, a copy which is attached hereto as Exhibit 3.2.
