SCHEDULE TO

This Tender Offer Statement on Schedule TO relates to an offer (the “Exchange Offer”) by RAIT Financial Trust, a Maryland real estate investment trust (the “Company”), to exchange our common shares of beneficial interest, par value $0.01 per share (the “Common Shares”), and cash, for up to $             aggregate principal amount of our 6.875% Convertible Senior Notes due 2027 (the “Convertible Notes”). Holders who validly tender and do not validly withdraw their Convertible Notes prior to 5:00 pm New York City time, on             , 2009, will receive for each $1000 principal amount of Convertible Notes accepted for exchange (i)              Common Shares, (ii) a cash payment of $             and (iii) accrued and unpaid interest on the Convertible Notes to, but excluding, the settlement date, payable in cash.

The Exchange Offer shall commence on the filing date hereof and shall expire at 5:00 pm, New York City time, on             , unless extended or earlier terminated by the Company. The Exchange Offer will be made upon the terms and subject to the conditions set forth in the prospectus (the “Prospectus”), which forms a part of the Registration Statement on Form S-4 filed on the date hereof with the Securities and Exchange Commission (the “Registration Statement”), and in the related letter of transmittal, which are exhibits (a)(1) and (a)(2) hereto.

This Schedule TO is being filed in satisfaction of the reporting requirements of Rules 13e-4(b)(1) and (c)(2) promulgated under the Securities Exchange Act of 1934, as amended. Information set forth in the Registration Statement and the related letter of transmittal is incorporated by reference in response to Items 1 through 13 of this Schedule TO, except those items as to which information is specifically provided herein.

The subject class of securities is the Company’s 6.875% Convertible Senior Notes due 2027. As of the date of this Schedule TO, $280,363,000 aggregate principal amount of Convertible Notes were outstanding.
