The net proceeds from the Senior Notes will be used to refinance part of the existing Innova's 12 7/8% bond that matures in 2007. With this transaction, Innova strengthens its financial profile and will lower its cost of borrowing. The securities have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
